Terms of Service for Foilify Transfers

Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you (referred to as "you" or "Customer") and Dušan Milićević PR FOILIFY, operating under the brand name Foilify Transfers, located at Dokmirska 4, 14000 Valjevo, Serbia, PIB 115192838 ("Company", "we", or "us"), the operator of the foilifytransfers.com website (the "Site") and provider of direct-to-film ("DTF") transfer printing services.

By accessing our Site or using our services (including placing an order), you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Site or our services.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use this Site and our services. If you are using the Site on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and in that case, "you" refers to that entity.

Description of Services

Foilify Transfers provides DTF transfer printing services, which means we print designs or artwork that you (the customer) upload to our Site onto specialized film transfers or other offered products. We do not create or alter your designs; we simply produce prints based on the files and instructions you provide. Accordingly, you are solely responsible for the content of any designs or files you submit to us for printing.

Please ensure that any file or design you upload meets our technical requirements (for example, correct file format, dimensions, resolution, and color settings) and is exactly what you want printed. We will print your design as provided by you, and we do not comprehensively proof or edit customer files for errors or quality issues. We are not responsible for errors or defects in the final printed product that are due to issues in the content or quality of the files you provided (such as misspellings or low-resolution images in your design). While we may, at our discretion, check for obvious technical problems and attempt to notify you if we find something amiss, we do not guarantee that we will catch or correct every issue.

We reserve the right to refuse or cancel any order that, in our sole discretion, contains content that is illegal, infringing, offensive, or otherwise violates these Terms or our policies. In such cases, we will typically notify you of the cancellation and, if payment was already processed, provide a refund for that order.

Accounts and Orders

To make a purchase, you may need to create an account on our Site. You agree to provide truthful, accurate, and current information when creating an account or placing an order. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. If you become aware of any unauthorized use of your account or any other breach of security, you should notify us immediately. We are not liable for any loss or damage arising from your failure to protect your account credentials.

When placing an order, it is your responsibility to review and verify all details before finalizing the purchase. This includes ensuring that the product type, size, quantity, and especially your uploaded design files are correct and meet your expectations. Please double-check your artwork and order specifications (e.g. dimensions, colors, spelling of any text) before you submit your order. Foilify Transfers will not be responsible for mistakes or inaccuracies in your order details or design that you provided to us.

All orders are subject to our review and acceptance. We reserve the right to refuse, cancel, or limit any order at our sole discretion. For example, we may decline or cancel an order if we suspect it is fraudulent or not authorized by you. We may also cancel an order if the design or content you provided violates these Terms, our policies, or another party’s rights. Additionally, an order might be canceled due to unexpected issues that make it impossible to fulfill — for instance, if a product is out of stock, if we discover a material error in pricing or product information, or in the event of a technical problem on our Site.

If we cancel your order after you have been charged, we will notify you and issue a full refund of the amount you paid for that order.

Payment and Pricing

All prices for products and services are listed on our Site and are subject to change at any time without notice. Prices are typically shown in EUR (unless otherwise stated) and do not include applicable taxes or shipping charges, which will be added at checkout as required. You agree to pay the price shown at the time you place your order, along with any associated taxes and shipping fees.

Payment is due at the time of order placement. We accept various payment methods (such as major credit cards and other payment options provided at checkout). By providing a payment method, you represent and warrant that you are authorized to use that payment method and that all billing information you provide is accurate. If your payment is declined or if your provided payment method cannot be processed, your order may not be accepted or fulfilled.

In the event we discover an error in pricing or an error with a product listing, we reserve the right to correct that error and revise your order accordingly (with your consent) or to cancel the order and issue a refund. If your order is canceled due to a pricing or listing error and you have already been charged, we will promptly refund the amount paid.

Any promotional offers or discount codes must be used in accordance with their terms. Such promotions may be subject to expiration dates or other limitations, and we reserve the right to modify or discontinue promotions at any time without notice.

Order Changes, Cancellations, and Returns

Customer-Initiated Changes or Cancellations: If you need to change or cancel an order after it has been placed, please contact us as soon as possible. We will make a reasonable effort to accommodate your request, but we cannot guarantee that changes or cancellations can be made once the order is in production or has shipped. If your order has already entered production, we may not be able to cancel or modify it. In some cases, a cancellation might result in a charge to cover the costs of materials or work already completed up to that point.

Custom Products and Returns: Because the products we produce for you are custom-made to your specifications, all sales are generally final. We do not accept returns or offer refunds for custom DTF transfer products except in cases where the product arrives defective, or we made an error in producing your order.

If you believe there is a defect or mistake with your order that is our fault, you must contact us at support@foilifytransfers.com within 7 days of receiving your order. Please provide your order number and a description of the issue (including photographs of the product, if possible). We will evaluate the problem, and if we determine that the product was misprinted, damaged, or not produced according to your approved order due to an error on our side, we will, at our discretion, either reprint the item at no additional cost to you or issue you a refund or store credit. In some cases, we may provide you with a return shipping label to send back the defective product, or we may ask you to dispose of it.

Please note that minor variations in color, size, or placement that are within standard tolerances of the printing process may not be considered defects. While we strive for perfection, slight differences can occur (for example, colors may appear slightly different in print than on a digital screen, or there may be small variances in cutting or positioning). These minor variations are normal and will not be eligible for reprints or refunds.

Company-Initiated Cancellations: We reserve the right to cancel any order, even after we have confirmed it, at our discretion. Reasons for cancellation may include (but are not limited to) situations where the content of your Design violates our content policies or the rights of others, we encounter technical or production issues that prevent us from fulfilling the order, or we suspect the order is fraudulent or not legitimately placed by the owner of the payment method. If we cancel your order, we will notify you using the contact information you provided and will issue a full refund of any payment you have made for that order.

Shipping fees are generally non-refundable once an order has shipped, except in cases where we have agreed to a return or have canceled an order due to our own error. For more details about shipping procedures, delivery times, and related issues, please refer to our shipping policy on the Site.

 

Customer Uploaded Designs and Content

When you upload or submit a design, image, graphic, or any content (collectively, "Design") to our Site for printing, you retain all ownership rights to your Design. We do not claim ownership of your artwork or designs. However, by submitting a Design to Foilify Transfers for the purpose of fulfilling an order, you grant us a limited, non-exclusive, royalty-free license to use, reproduce, and, if necessary, modify that Design solely for the purpose of producing, fulfilling, and delivering your order. This means, for example, we may print your Design on the requested product, and we may store your file on our systems as needed to complete the order and for record-keeping. We will not use your uploaded Designs for any other purpose (such as marketing or selling your design to others) without your explicit permission, except as allowed or required by law.

Your Responsibility for Content

You represent and warrant that you own or have obtained all necessary rights and permissions to use and print each Design you submit. This includes any copyright, trademark, or other intellectual property rights in the Design, as well as permission from any individuals who may be depicted in the Design. By uploading a Design, you also confirm that printing and distributing that Design will not violate any law or infringe upon the rights of any third party.

You agree not to submit any Design or content that is illegal, offensive, or that infringes on the rights of others. This includes, for example, content that is protected by someone else’s copyright or trademark unless you have the legal right or permission to use it. While we do not actively monitor every file uploaded, if we become aware of content that appears to infringe someone’s intellectual property or otherwise violates these Terms, we may refuse to print it and may cancel the associated order.

Prohibited Content

You may not upload or submit any Design or content that:

  • Infringes Intellectual Property: copyrighted material, trademarks, logos, or proprietary content you do not own or have permission to use.

  • Violates Law or Rights: violates any law or infringes upon privacy, publicity, or other personal rights.

  • Offensive or Obscene: obscene, pornographic, sexually explicit, or harmful to minors.

  • Hateful or Harassing: promotes hatred, violence, or discrimination against any group, or contains threats, harassment, or defamatory material.

  • Otherwise Objectionable: content that a reasonable person would consider extremely offensive or inappropriate, even if legal.

We reserve the right (but do not assume the obligation) to review, refuse, or remove any Design or content that we believe, in our sole discretion, may violate these standards or any applicable law.

Your Liability for Uploaded Content

You understand that you are solely responsible for the content of your Designs. Foilify Transfers will not be liable for any claims, damages, or losses arising from or related to the Designs you provide. If any third party brings a claim alleging that a Design you uploaded violates their rights or has caused them harm, you agree that you will be responsible for that claim (not Foilify Transfers). You further agree to indemnify and hold Foilify Transfers harmless from any such claims or losses, as explained in the Indemnification section of these Terms.

Intellectual Property Rights (Site Content)

Apart from the Designs that you provide to us, all content and materials on the Site are the property of Foilify Transfers or our content suppliers and are protected by intellectual property laws. This includes the design and layout of the Site, text, graphics, logos, button icons, images, audio clips, software, and any other material or content provided by us.

Foilify Transfers and all related logos, product and service names, designs, and slogans are trademarks or service marks owned by us. You are not permitted to use any of these marks without our prior written consent.

We grant you a limited, non-exclusive, non-transferable license to access and make personal use of our Site and content for the purpose of learning about our services or placing orders. However, you agree not to reproduce, duplicate, copy, sell, resell, modify, or exploit any portion of the Site or its content without our express written permission.

This Intellectual Property section does not apply to the Designs or content you upload for printing. Any Designs you submit remain yours; our license to your Design is only to the extent necessary to process and fulfill your orders.

Third-Party Services and Links

Our Site may contain links to third-party websites or integrate with third-party services (for example, payment processors or shipping providers) to help process your orders. These third-party sites and services are not under our control, and Foilify Transfers is not responsible for the content, products, services, or practices of any third-party website or service.

If you follow a link to a third-party website or use a third-party service through our Site, be aware that those third parties have their own terms of service and privacy policies. Any activities or transactions you engage in with those third parties are solely between you and the third party.

Indemnification

You agree to indemnify, defend, and hold harmless Foilify Transfers, Dušan Milićević PR FOILIFY, its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) that arise out of or relate to:

  • Your breach of these Terms.

  • Any claim that the Designs or content you upload infringe someone’s intellectual property rights or other rights.

  • Your use of the Site or our services.

  • Your violation of any applicable law or the rights of any third party.

This indemnification obligation will survive termination of these Terms.

CUSTOMER DESIGN RESPONSIBILITY

Foilify Transfers provides only the service of printing semi-finished products (DTF transfer films) strictly based on the design files submitted by the customer.

  1. We do not review or verify uploaded designs for copyright, trademark, or other intellectual property rights. Our review is limited solely to the technical quality of the print (resolution, color accuracy, printability).

  2. The customer is solely responsible for ensuring that all submitted files are lawful and that they have full rights and permissions to use and distribute the designs.

  3. Foilify Transfers does not manufacture or sell finished branded products (such as apparel with applied designs). Any use, sale, or distribution of products made from transfer films is entirely at the customer’s own risk.

  4. By submitting files, the customer agrees to indemnify and hold harmless Foilify Transfers from any claims, damages, or liabilities arising from the content of their designs or the use of produced transfer films.

Disclaimer of Warranties

Foilify Transfers provides the Site and all products and services on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Site will be uninterrupted, secure, or error-free, or that our services will meet your expectations. Slight variations in colors or final product results compared to digital previews are normal and not covered under warranty.

Limitation of Liability

To the fullest extent permitted by law, Foilify Transfers shall not be liable for any indirect, incidental, special, consequential, or punitive damages (such as lost profits, lost savings, or loss of data) arising out of or related to your use of the Site or services.

Our total liability to you for any claim is limited to the total amount you paid to us for the specific order in dispute.

Termination

We may suspend or terminate your account or your access to the Site at any time if you violate these Terms, applicable law, or engage in conduct harmful to Foilify Transfers or its customers.

Modifications to Terms

We reserve the right to update or change these Terms at any time. Updates will be posted on the Site with the "Last Updated" date. By continuing to use the Site after such changes, you agree to be bound by the revised Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia. Any disputes will be subject to the exclusive jurisdiction of the courts in Valjevo, Serbia.

Miscellaneous

  • Severability: If any provision of these Terms is found invalid, the remaining provisions shall remain in effect.

  • No Waiver: Failure to enforce any provision is not a waiver of our rights.

  • Entire Agreement: These Terms constitute the entire agreement between you and Foilify Transfers regarding your use of the Site.

  • Assignment: You may not transfer your rights under these Terms without our consent.
